By accessing or using the ExecGraph platform (“Service”), operated by Lead Ledger Pro LLC, a Texas limited liability company (“Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
ExecGraph is a software as a service (SaaS) platform that provides organizational intelligence, executive profile data, career history, and relationship mapping for businesses operating in the Texas energy and industrial sectors. The Service includes free and paid subscription tiers with varying levels of access to data and features.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Paid subscriptions are billed monthly at the rate specified at the time of purchase. All fees are non refundable except as required by applicable law. You authorize us to charge your designated payment method on a recurring basis. We reserve the right to modify pricing with 30 days advance notice. Failure to pay may result in suspension or termination of your access to paid features.
You agree not to: (a) scrape, crawl, or use automated means to extract data from the Service; (b) redistribute, resell, or sublicense any data obtained from the Service; (c) use the Service to harass, stalk, or harm any individual; (d) attempt to circumvent any access controls, security measures, or usage limits; (e) use the Service for any unlawful purpose or in violation of any applicable laws or regulations; (f) share account credentials with unauthorized third parties; or (g) use the data obtained from the Service for unsolicited bulk communications or spam.
All content, data compilations, software, design elements, and other materials available through the Service are the property of Lead Ledger Pro LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The organizational data, intelligence summaries, and relationship mapping provided through the Service represent proprietary compilations of publicly available information and constitute trade secrets of the Company. You are granted a limited, non exclusive, non transferable license to access and use the Service for your internal business purposes only.
The Service aggregates and presents publicly available professional information. We do not guarantee the accuracy, completeness, or currency of any data provided through the Service. You acknowledge that executive profile data, career histories, and organizational information may contain errors or become outdated. You agree to use all data obtained through the Service in compliance with applicable privacy laws, including but not limited to the Texas Data Privacy and Security Act. We collect and process your account information in accordance with our Privacy Policy.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA PROVIDED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEAD LEDGER PRO LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Lead Ledger Pro LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your use or misuse of any data obtained through the Service.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may cancel your subscription at any time through your account settings or by contacting us. Upon termination, your right to access the Service will immediately cease. Sections 6, 8, 9, 10, 12, and 13 shall survive any termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Harris County, Texas. You consent to the personal jurisdiction and venue of such courts.
These Terms constitute the entire agreement between you and Lead Ledger Pro LLC regarding the Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. We may assign our rights and obligations under these Terms without your consent. You may not assign your rights or obligations without our prior written consent.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service with a new “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
